License Agreement:
This agreement ("Agreement") is made
between Professional Computer Consulting, Inc. d/b/a GreatData.com (GreatData),
a Florida Corporation and the company purchasing the GreatData products
("the Company").
WHEREAS, the Company wishes to license certain products from GreatData,
The Company and GreatData agree:
Use Grant/Updates: Subject to the provisions of the Agreement,
GreatData hereby grants the Company a non-transferable, non-exclusive
license to use the GreatData product(s) ordered by the Company. The
company shall periodically receive GreatData updates as they become
available throughout the term of the Agreement at no additional charge.
Such updates or notice thereof shall be forwarded to the Company via
email or other means.
Term: The term of this Agreement for GreatData products commences
on the date the products are ordered by the Company and shall continue
in effect for a period of one year. This Agreement may be renewed for
additional one-year periods at the then current price by mutual agreement
of the parties.
Sites: The Company may use the GreatData products at multiple
sites if multiple copies of the product are purchased. A site is defined
as including, but not limited to, the following locations where all
or part of our products are stored or accessed:
- For non-web site locations: an individual site would include
an office building, each branch office using the data, individual
users off-site, but not at a branch office, accessing the data or
product from laptops or other computers. These users would typically
include sales reps, vendors, installers, technicians, etc.
- For web site locations: an individual site would include
each web server (internet or intranet), including all servers accessing
our data and co-located web servers. If multiple companies or domain
names are sharing our products on the same server, then each company
and/or domain name is considered a separate site. A site for a Search
Engine company would be for each office building where the web servers
are located or co-located.
- Development locations: if a site is to be used strictly for
development or maintenance on software which uses our products, you
do not need to include it as an additional site.
Exemption for a single company with both a web and non-web site use:
if the product will be used for one company at one non-web site location
and for that companys one web site (one domain name), then only
one copy of the product needs to be purchased.
- For the total number of sites: include all sites for your
company and, if reselling or redistributing our product as part of
another software package, each additional site where it is to be installed.
Multiple Licenses: Normally, each product is licensed by the
number of sites that can access the product (as defined above). You
first purchase one copy of the product which gives you a single site
license, then purchase one additional copy for each 10 additional sites:
Unlimited Use Licenses: Currently, for our U.S. Zip Code, Mexican
Postal Code and Zip Search Deluxe products, you may purchase an unlimited
use license by purchasing a total of 10 copies of the product. Note:
the Unlimited Use License does not apply to the Canadian Postal Codes
product line.
Reselling: In order to resell our products, you agree that you
will not be selling a competing product. We ask that, if possible, the
information from us that you provide to your customers not be easily
extracted from the product (usually this means that you put the data
in a binary or encrypted format.) You will be responsible for upgrading
your customers as needed. You will need to purchase the appropriate
number of copies for the number of sites where our product is installed.
